Terms of Service

Terms of Service · Privacy Policy · Disclaimer · Filming guide
1. Business customers, eligibility and agreement
These Terms apply to individual real-estate agents and agencies buying Ryselist for business or professional use. The Service is offered to businesses and to people acting for a business or profession; it is not offered to consumers for personal, family or household use. The customer must be at least 18 years old and legally able to enter a binding contract, and Ryselist does not knowingly provide the Service to anyone under 18. By placing an order, buying an agency plan, creating or using a portal account, or otherwise using the Service, the customer agrees to these Terms and any order details shown at checkout or agreed in writing. If a person acts for an agency, that person confirms that they have authority to bind the agency. The Ryselist Privacy Policy, linked in the footer of this site, explains how personal information is handled.
2. The Service
Ryselist turns property videos or photos and the details you supply into a listing-media pack. The standard pack includes edited property photos and written listing copy. A 3D floor-plan view requires a supplied 2D plan and is included only where the order or offer says so. A listing video is included only where the order or plan says so. Finished social-media edits are not part of the standard pack. “Deliverables” means the photos, floor plans, listing text and any other files Ryselist produces for an order.
The quantity, format, resolution, language and other inclusions are stated with the offer, in the portal or in an agreed agency order form. A free example listing contains up to 15 photos and nothing else. It is a sample, not a promise to cover every room.
Horizontal footage is recommended. We can also process vertical footage, but it requires additional manual work and a vertical-video listing uses double the standard listing credits. Vertical footage can produce less accurate or less complete results than well-filmed horizontal footage, especially where filming is poor. The filming guide and Disclaimer explain the limitations.
3. Portal accounts, invited users and access
Customers may access orders and Deliverables through the portal at app.ryselist.com/portal/login. Account information must be accurate and kept up to date. Each person who uses the portal must have their own login. Login details, access codes and sign-in links are personal to that person. They must be kept secure and must not be shared.
An agency may invite people to its portal account and give them a role, such as admin. People who join this way are "invited users". An agency may invite only its own staff and agents, including agents engaged as independent contractors, who need access for the agency's property business. It must not invite outside suppliers, prospective partners or people who want to inspect the Service unless Ryselist approves them in writing. An admin who sends an invite acts for the agency. The admin role does not widen these permissions. Section 14A restricts Competitor access.
The agency is responsible for the invited users it or its admins authorise, and for their use of its accounts. An invited user's breach of the access, confidentiality or use rules is also a breach by the agency. The agency must take reasonable care to control access. It is not responsible for unauthorised activity caused by Ryselist's failure to secure the Service, to the extent the agency and its users did not cause or contribute to it.
Each invited user accepts these Terms by using the portal after having an opportunity to read them. The access, confidentiality and use rules apply directly to each invited user. An invited user does not personally guarantee the agency's fees merely by using its account. The agency must give invited users these Terms and the Privacy Policy before they use the portal. It should give the admin role only to people it trusts to follow these rules. It must remove access promptly when a person leaves or no longer needs it, or ask Ryselist to remove it if it cannot do so.
Please tell Ryselist promptly about suspected unauthorised access or if an invited user may be a Competitor. We may require a password reset, remove an invited user or temporarily restrict access to protect the Service or customer data. Section 20 governs these actions.
4. Orders and customer instructions
A paid order is accepted when Ryselist confirms it after receiving the required payment or allocating the applicable plan credits. A free example order is accepted when Ryselist confirms the free submission. The customer must supply the full footage, accurate property details and complete instructions, then confirm that all footage has been sent.
Customers may send footage in several messages or uploads. Sending the first clip does not mean the submission is complete. State instructions such as furnished or unfurnished treatment before we produce the listing. Follow the filming guide for the best result. If material is missing, corrupted or unusable, we will explain what needs to be supplied or filmed again.
New generation instructions after a listing is completed count as a new listing. Section 5 explains the difference between those requests and included revisions. Any additional listing credits or fee must be agreed before the new work starts.
5. Delivery timing and included revisions
We deliver paid listings within 24 hours after we have received the full footage and the customer confirms that all footage for that listing has been sent. This applies whether footage arrives through the portal, an upload link or WhatsApp. The first clip alone does not start the clock. The complete property instructions must be supplied with the submission.
If we cannot work from the supplied footage or need missing information, we will contact the customer and explain the effect on delivery. Any revised deadline must be communicated and agreed. If we miss the 24-hour delivery deadline for a paid listing, that listing does not use a credit. If the credit was already deducted, we restore it. We do what we can for your free listing. It has no delivery deadline or late-delivery remedy. A delay does not start a paid subscription for a free example.
If Ryselist pauses work because of an established material breach under section 20, the delivery deadline moves only by the time that breach actually holds up the work. We will explain the pause and its effect on delivery. If Ryselist ends the affected order for that breach under section 20, future delivery and revision duties for that order end, subject to the payment settlement in section 20. A suspension based only on suspicion does not remove delivery remedies. Any remedy already earned before the breach stays due.
Revisions are small changes that improve a delivered image within the original brief. Included revisions are free and unlimited in rounds. Examples include removing a small item from a wall, correcting a generated detail, or fixing the appearance of a material or finish.
A new brief is a new listing, not a revision. For example, if the original instructions did not ask us to remove furniture and the customer asks for the whole property to be unfurnished after delivery, that is a new listing. New generation guidelines, a different overall treatment or footage for a changed property or new brief after completion require a new order. Correcting our failure to follow instructions supplied before production remains an included revision, including replacement footage we request to complete that correction.
6. Fees, credits, renewal and the free example
Paid orders and agency plans are payable upfront at the price and in the currency stated when purchased. Applicable taxes are payable by the customer unless included in the displayed price. The plan or order states the billing period, included volume and credit rules. A vertical-video listing uses twice the standard listing credits because it requires more manual work.
Unless the agreed order form states otherwise, agency plans renew automatically at the end of each billing period. The customer may stop the next renewal before the current period ends, through the portal where that option is available or by emailing hello@ryselist.com. Every billing period already started remains payable in full, subject to rights that cannot lawfully be excluded. Cancellation takes effect at the end of that period.
Ryselist gives at least 30 days of notice by email before a higher fee applies on renewal. Payment providers process card and bank details under their own terms. Ryselist may pause new work or portal access for overdue or failed payments.
The free example covers one property and up to 15 photos. It does not automatically enrol the customer in a subscription or convert into a paid plan. A paid order or subscription requires a separate purchase agreement. Any introductory discount on a paid plan follows the renewal terms shown when that plan is purchased. Unless its stated terms say otherwise, a free example is limited to one per customer and has no cash value.
7. Cancellations and refunds
The customer may ask to cancel before Ryselist begins editing, processing or other delivery work. Fees for a completed or delivered order are non-refundable except where required by law or expressly agreed in writing. Agency-plan fees for a billing period already started are payable in full and are not refunded when a plan is cancelled, except where required by law. For an ordinary cancellation, the plan runs to the end of that period and Ryselist still delivers the listings for that period. If Ryselist cannot complete an accepted order for reasons within its control, its remedy will be to re-perform the affected work or refund the fee paid for the undelivered part of that order. When Ryselist ends a plan or order for an established material breach of sections 3, 9, 11, 14 or 14A, section 20 governs the work and payment settlement instead. Rights that the law does not allow a contract to remove are not affected. Ordinary cancellation of an agency plan does not cancel or refund work already started.
8. Customer content and permissions
The customer keeps ownership of the videos, photos, text, plans and other material it supplies (the Inputs). The customer must own the material or have authority to submit, edit and use it. This includes the right to market the property and any permissions needed from people shown or heard in the footage.
The customer grants Ryselist a non-exclusive, worldwide licence to host, copy, edit and process the Inputs to provide, secure and support the Service and meet legal obligations. Marketing use of property images is covered separately by section 13. The customer must have authority to grant that marketing licence as well as the production licence.
9. Confidential information
Non-public information received through the Service is "Confidential Information" where its nature or the circumstances reasonably show that it is confidential. Each party must keep the other party's Confidential Information confidential and use it only for the agreed purposes. It may include property contacts, account records and unpublished business information.
Ryselist's Confidential Information includes non-public parts of its portal screens, features, workflows and settings. It also includes unpublished pricing and plan terms, product plans, production methods, prompts and technical information. Non-public production information embedded in Deliverables is covered as explained in section 11. Screenshots and recordings are confidential to the extent they reveal Confidential Information. A confidential label is not required.
Subject to section 14A, the customer may show its own listings and Deliverables in the portal to its own clients, such as property owners. This does not permit sharing a login or giving a client independent portal access. The customer must avoid showing unrelated Confidential Information.
Access to Confidential Information is limited to staff, contractors and professional advisers who need it for the agreed work and have duties of confidence. This does not widen who may use the portal under section 3. The customer must not disclose Ryselist's Confidential Information to a Competitor except with Ryselist's written approval or where the law permits a disclosure that a contract cannot prohibit. Each party is responsible for breaches by the people to whom it entrusts the other party's Confidential Information.
This section does not prevent use or publication of Deliverables allowed by section 11, discussion of public information, or a legally protected report to a regulator. It does not make voluntary feedback confidential where section 12 applies. Property images licensed for marketing under section 13 remain subject to that stated use. That licence does not permit disclosure of unrelated Confidential Information.
Information is not confidential if it becomes public without breach, was already known without a duty of confidence, was independently developed or was lawfully received from a third party. Required legal disclosure is permitted. Where lawful, the affected party will be notified so it can seek protective treatment.
On termination, a party may request return or deletion of its Confidential Information. Routine backups, legal holds and records that must be retained are exceptions and remain protected. These duties continue for three years after termination, and for as long as a trade secret remains protected by applicable law.
10. Accuracy, AI-assisted editing and disclosure
Ryselist combines AI-assisted tools with human review to produce listing media. Output quality depends on the source footage and instructions. Follow the filming guide, provide original-quality files and review the pack before publication. Poor filming may cause inaccuracies in colours, textures, small details or perspective. Vertical footage requires more manual work and may be less accurate than well-filmed horizontal footage.
The customer must check property facts, dimensions, layout, price, permit information and other claims. A 3D view made from a supplied 2D floor plan is a marketing illustration, not an architectural, engineering or measured survey.
Customers must follow applicable property-advertising and portal rules, including any required disclosure of AI editing, virtual staging or proposed renovation. Deliverables must not conceal a material property fact or mislead viewers. See the Disclaimer for filming guidance and the distinction between small corrections and a new brief.
11. Rights to finished work
Once a paid order is paid in full, the customer owns the final Deliverables created specifically for it and may use, edit and publish them to market the property. Ryselist transfers to the customer the transferable intellectual property rights it holds in those final Deliverables, subject to the retained and third-party rights below. For a free example, the customer may use, edit and publish the delivered free files for the same purpose without buying a plan. These rights are subject to the marketing licence in section 13, applicable third-party rights and the use rules in section 14. Some AI-generated material may not qualify for copyright protection. Ryselist does not promise that such material is exclusive or that rights exist where the law does not recognise them.
Ryselist keeps the rights it holds in its software, production methods, prompts, workflows, templates, brand assets and know-how. This includes rights it holds in models and settings and in improvements made while serving the customer. This does not give Ryselist ownership of the customer's Inputs or the final Deliverables owned by the customer. Third-party software, tools and models remain subject to their owners' rights. Owning or using a Deliverable gives no separate licence to Ryselist's production methods.
Ryselist licenses any of its background material embedded in a Deliverable perpetually, worldwide and royalty-free for use, editing and publication as part of that Deliverable. This does not transfer ownership of that material or allow its extraction and reuse on its own. Third-party material remains subject to its own licence terms.
Delivered files may contain metadata or other embedded information added by Ryselist, such as processing settings or file identifiers. Only information that meets section 9's definition is Ryselist's Confidential Information. The customer's own information, public information and ordinary technical facts do not become Ryselist's Confidential Information merely because they appear in a file.
The customer may keep, edit and publish the files as delivered. It may inspect or remove ordinary metadata for file management, privacy, compatibility or security. It must not deliberately extract non-public production information to copy Ryselist's methods or supply it to a Competitor. Permitted publication of a file is not a confidentiality breach, including where metadata remains embedded. The public-information exception in section 9 continues to apply.
If Ryselist supplies confidential production information by mistake, it may provide a corrected file at no charge. The customer must reasonably help replace the affected copy where it controls that copy. This does not require the customer to recover copies beyond its control or surrender its rights in the Deliverable. The customer must keep any attribution, AI label or marking required by law, a property portal or an applicable third-party licence.
The customer may give Deliverables to property owners, clients, advertising platforms and service providers as needed to market the property. This includes normal publication on a platform that offers AI tools, provided the customer does not knowingly authorise the prohibited training or development described in section 14. It must not supply files to a Competitor for inspection of Ryselist's methods or for prohibited product development. The customer is not responsible merely because an unrelated person views or copies lawfully published media without the customer's involvement.
12. Feedback
The customer may choose to send Ryselist suggestions, ideas, feature requests, bug reports or other feedback about the Service. Feedback is given voluntarily and is not treated as confidential. Ryselist may use, copy, modify and build feedback into the Service or any other product without restriction, attribution or payment, and the customer grants Ryselist a perpetual, irrevocable, worldwide, royalty-free licence to do so. This section gives Ryselist no rights over the customer’s Inputs, Deliverables or property information, which are covered by sections 8 and 11, and no right to identify the customer as the source of feedback without separate permission.
13. Property-image marketing use
By submitting property media, including videos or photos, under these Terms, the customer grants Ryselist a non-exclusive, worldwide, royalty-free licence to display the submitted property photos and finished property images in its portfolio, website, advertising, case studies and social media. This includes before-and-after examples and applies to paid orders and free examples. Marketing use is included by default; Ryselist does not request separate approval for each use covered by this licence.
The customer must have authority to grant these rights. This licence does not grant rights to publish identifiable people, private contact details or unrelated confidential information. Any such use requires the appropriate separate rights and lawful permissions.
This licence applies to property photos submitted and finished property images produced from media submitted under this version of the Terms. It does not replace permissions or restrictions attached to earlier submissions. Contact hello@ryselist.com about a rights issue or a requested restriction. Any separate written restriction agreed with Ryselist takes priority for the affected images.
14. Acceptable use and no copying
The customer and each invited user must use the Service and Deliverables lawfully. They must not commit fraud, market a property without authority or impersonate another person. They must not upload content that is unlawful, deceptive, defamatory, discriminatory, harmful or infringing. They must not introduce malware, probe or bypass security or usage controls, disrupt or overload the Service, or resell portal access.
The customer and each invited user must not do the following or knowingly help or authorise someone else to do them:
(a) Copy the portal's software, original screen designs or written content into another product, or use Ryselist's Confidential Information to reproduce its workflows or methods.
(b) Reverse-engineer, decompile or disassemble the Service, or try to obtain its source code, hidden prompts, settings, model details or non-public production methods.
(c) Scrape, crawl or bulk-download the portal, or access it using bots, scripts or other automated tools, except through features Ryselist provides or approves in writing. Ordinary browser functions and accessibility tools used for their intended purpose are allowed.
(d) Test, compare or analyse the Service or its outputs to design, build or market a Competing Product, as defined in section 14A.
(e) Use the Service, Deliverables, Inputs paired with their Deliverables, or Ryselist's Confidential Information to build, train, fine-tune, test or improve a Competing Product or any AI model. This includes collecting or supplying datasets for that purpose.
Authorised users may evaluate the Service for their own property business. Customers may use editing tools, including AI tools, to edit Deliverables for property marketing if they do not knowingly authorise the prohibited training or development. These rules do not restrict independent use of the customer's own Inputs without Ryselist material. They do not give Ryselist rights over public ideas or features that others independently develop.
Nothing in these Terms restricts an act that applicable law allows and a contract cannot prohibit. This includes protected rights to observe, study or test software, make necessary backup copies or carry out limited decompilation for interoperability. The person relying on that right must meet the conditions of the law. These Terms do not add a consent or advance-notice requirement that would restrict that right.
Ryselist may remove content or suspend access where reasonably necessary to address misuse, a security risk or a legal request. Section 20 governs suspension and termination.
14A. Competitors
A "Competing Product" is a product or service offered to other businesses, or being developed for that purpose, that competes with the Service in making or editing property listing content. It includes products or services that offer:
(a) Editing, retouching, virtual staging or enhancement of property photos or videos.
(b) AI-generated or AI-edited listing media, floor plans or listing text.
(c) AI tools that create property listing content for real-estate websites or brochures.
A "Competitor" is a business that offers or is building a Competing Product. It also means a person who controls or manages that business, works for it, or acts for it as a contractor, consultant or adviser in connection with a Competing Product. A passive investment alone does not make a person a Competitor.
A photographer or videographer who films properties and edits their own footage for their own clients is not a Competitor for that work alone. An agency's in-house marketing for its own listings is not a Competing Product. An agency does not become a Competitor because it uses other software. An independent lawyer, accountant or tax adviser is not a Competitor merely because they also advise competing businesses, provided they act only for the customer in this matter and protect Ryselist's Confidential Information.
The customer is free to use other providers. This section controls access to the Service and use of Ryselist material. It does not prevent independent competition without that access or material.
Unless Ryselist approves in writing, a Competitor must not open or use an account, order the Service or request a free example. The customer must not use the Service for a Competitor or on its behalf. The customer and each invited user must not:
(a) Invite a Competitor to the portal in any role.
(b) Share a login, password, sign-in link or open session with a Competitor.
(c) Show non-public parts of the portal to a Competitor through a demo, screen share, screenshot or recording.
(d) Share Ryselist's Confidential Information or non-public details of how the Service works with a Competitor.
Ryselist may approve a named Competitor's access, an order or a specified disclosure in writing. That approval is an exception to this section only for the named person and stated purpose. It does not permit shared logins or other prohibited use.
These rules apply even if the Competitor also works for the agency. They cover people the customer or invited user knows, or has reasonable grounds to suspect, are Competitors. They must not use another person to avoid the restrictions. If unsure about access, ask hello@ryselist.com first. A transfer permitted under section 24 does not itself authorise Competitor access.
These rules do not stop anyone viewing Ryselist's public website or lawfully published property media. They do not prohibit the ordinary marketing distribution allowed by section 11, disclosures protected by section 9 or acts protected by mandatory law under section 14.
By using the portal, each invited user confirms that they are not a Competitor or have Ryselist's written approval to access it. Ryselist may refuse access or take action under section 20 if this is untrue.
14B. Security monitoring and activity records
Ryselist records sign-ins, invitations and activity in the portal. We use these records to protect the Service and customer data, prevent misuse, investigate incidents and enforce access and use rules.
Records identify the account or user, the recorded action and its time. They include the IP address and approximate location inferred from that address where available. This location is an estimate, not GPS location. The records do not necessarily show every action or identify the person behind a shared or compromised connection.
We keep routine activity records for up to 12 months from the recorded event. We keep relevant records longer only where needed for a specific security incident, dispute or legal duty. Access to retained evidence is restricted. We review the need to keep it and delete or anonymise it when that need ends. We may use relevant records as evidence. They are not conclusive proof of a breach.
Cloudflare provides hosting and security infrastructure that may process these records. We may share relevant records with professional advisers, courts, arbitrators or authorities where needed and lawful. A person at Ryselist decides whether to suspend or close an account for a suspected or established breach. Section 20 explains how to challenge that decision.
The Privacy Policy at https://ryselist.com/privacy explains this processing and individual rights. Accepting these Terms does not provide blanket consent to processing or waive those rights. The customer must give the Privacy Policy to the people it invites. Ryselist remains responsible for the privacy notices it must give by law.
15. Communications, messaging and electronic notices
Ryselist communicates about orders, revisions, delivery, security and account matters by email, through the portal and, where the customer gives a mobile number or starts a conversation with Ryselist on a messaging service, by WhatsApp, SMS or telephone. By giving a contact number or messaging Ryselist on such a service, the customer agrees to be contacted at that number about its orders and account. Those are service messages, not marketing, and are part of providing the Service. Ryselist will send marketing messages to a number only with separate consent, which the customer may withdraw at any time by replying STOP to the relevant message or emailing hello@ryselist.com; withdrawing marketing consent does not stop the service messages needed to run an order. Message frequency depends on order activity, and the customer’s mobile or messaging provider may charge for messages or calls. The customer confirms that it is entitled to receive messages at any number it provides and will tell Ryselist promptly if that number changes or is reassigned. The customer agrees that notices, agreements and disclosures given electronically by Ryselist meet any legal requirement that they be in writing, and that notices to the customer may be sent to the email address on the account.
16. No outcome guarantee
Ryselist provides media-production services, not brokerage, valuation, legal, architectural or advertising-placement services. Ryselist does not guarantee that a listing will receive more views or enquiries, rank higher on a portal, attract more buyers, sell or rent faster, achieve a particular price or produce any other commercial result. Those outcomes depend on the property, price, market, agent activity, portal rules and other factors outside Ryselist’s control.
17. Service warranties and availability
Ryselist will provide the Service with reasonable care and skill. Except for that commitment and any rights that cannot lawfully be excluded, the Service is provided on an “as available” basis. Ryselist does not promise uninterrupted portal access, compatibility with every platform or that third-party services will always be available. Planned maintenance, security work or events outside reasonable control may interrupt the Service.
18. Limitation of liability
To the maximum extent permitted by law, Ryselist is not liable for indirect, incidental, special or consequential loss; lost profit, revenue, opportunity, goodwill or data; a portal’s rejection or removal of a listing; or loss caused by inaccurate customer Inputs, publication without customer review or use contrary to these Terms. Ryselist’s total aggregate liability arising from an order is limited to the fees actually paid to Ryselist for that order. For a claim relating only to an agency plan and not a particular order, the cap is the plan fees paid in the three months before the event giving rise to the claim. Nothing in these Terms limits liability for fraud, wilful misconduct or any liability that cannot legally be limited.
19. Customer responsibility and indemnity
The customer is responsible for its publication and use of the Inputs and Deliverables. To the extent permitted by law, the customer will indemnify Ryselist against third-party claims, losses and reasonable costs arising from the customer’s breach of section 8, unlawful or misleading property marketing, or use of the Service or Deliverables in breach of these Terms. Ryselist will notify the customer of a covered claim and allow reasonable participation in its defence.
20. Cancellation, suspension and termination
A customer can stop an agency plan renewing as described in section 6. Cancellation takes effect at the end of the current billing period. Every period already started remains payable in full, subject to rights that cannot lawfully be excluded. A separately agreed notice period in a signed agency order form takes priority for that plan.
Ryselist may suspend or terminate access for material breach, non-payment, unlawful use or a serious security risk, subject to the safeguards below. Ending access does not by itself cancel an accepted order or make prepaid fees forfeited.
Suspension. Where we have reasonable grounds to suspect a breach of sections 3, 9, 11, 14 or 14A, or a serious security risk, we may act immediately. We may remove the person involved or suspend the affected users, account or work. We will limit the action to what is reasonably needed and review it promptly. A suspension for investigation alone does not establish a breach or cause prepaid amounts to be lost. Delivery remedies under section 5 continue unless an established breach actually delays the work.
Material breach. Prohibited Competitor access, deliberate copying, misuse of Confidential Information and prohibited product development or AI training can each be a material breach. This includes conduct by an invited user for which the agency is responsible under section 3. We must reasonably establish the breach before ending a plan or order for that reason. Our response must fit its seriousness and effect. If an agency did not know and could not reasonably have known that an invited user was a Competitor, removes that person promptly and addresses the risk, we will restore access unless a continuing serious risk justifies a restriction.
For a breach that can be remedied, we will normally give notice and a reasonable chance to remedy it before termination. We may end the affected account, plan or order immediately for a deliberate, serious or repeated material breach where continued service cannot reasonably be expected. We will still give any notice or opportunity to remedy that the law requires. If we cannot justify a continued suspension or establish a breach, we will restore access promptly. If we instead end the service without an established customer breach, the refund rule for other endings below applies.
Reasons and human review. A person at Ryselist decides whether to suspend or close an account for breach. We will tell the customer what we did and why, unless disclosure would be unlawful or would compromise security or an investigation. We will provide the explanation once that reason for withholding it ends. The customer may challenge the decision at hello@ryselist.com and send relevant information. A person at Ryselist will review the challenge and promptly correct a mistake.
Money after closure for breach. When we end a plan or order for an established material breach of sections 3, 9, 11, 14 or 14A, future work and renewals under it stop. Fees properly earned for service already supplied remain payable and are not refunded merely because of the breach. We may recover additional loss caused by the breach only to the extent the law allows and we can show that loss. We must account for costs saved, reasonable steps to reduce the loss and any amount already recovered.
We will provide a settlement showing earned fees, any lawful deduction and the balance due to the customer. We will refund prepaid amounts for unused credits and undelivered service after those deductions. A deduction for damages must be agreed, finally determined or otherwise permitted by law. An allegation alone does not entitle us to keep a disputed amount. This is not an automatic forfeiture or a fixed penalty. We will make any undisputed refund promptly.
This settlement rule takes priority over the full-period payment, continued-delivery and non-refund rules in sections 5, 6, 7 and the first paragraph of this section for that closure only. It does not affect other plans or orders, apply to a suspension alone, cancel a remedy already due, make future fees payable early or allow recovery of the same loss twice.
Other endings and files. Termination does not erase amounts properly due. Except for an order ended for the established material breach above, accepted orders already in progress will be completed unless the parties agree otherwise. If Ryselist ends service without customer breach and will not supply prepaid work or service, it will refund the amount paid for that undelivered work or unused service. These refunds remain available despite the ordinary cancellation rules in sections 6 and 7. Any legal right to end a contract for serious cause remains available.
Ending access does not take away ownership of paid Deliverables or permitted use of free-example files already delivered. The rules on their use continue. The customer may email hello@ryselist.com within 30 days after closure to request a copy of completed Deliverables it has paid for. We will provide a reasonable way to receive those files, where lawful, without restoring portal access. The request period does not shorten any longer access or portability right provided by law or an agreed data-processing arrangement. It does not require us to create Deliverables for work ended under the breach rule.
Records after closure. Ending a plan or archiving a listing does not by itself close the account or erase its records. After account closure, we delete or anonymise account data, Inputs and stored Deliverables when no longer needed under the periods or criteria in the Privacy Policy. This includes allowing the file-request period above. Routine activity records remain subject to the 12-month limit in section 14B.
We may retain relevant evidence needed for a specific incident, legal duty or legal claim. This may include invitation and activity records, communications and copies that show the alleged breach. We restrict access, review the need to retain that evidence and delete or anonymise it when the need ends. Backups remain protected while retained and are subject to the Privacy Policy and applicable deletion duties. We do not promise immediate deletion of every copy held by a provider. Images separately retained under section 13 remain subject to that licence, agreed restrictions and applicable privacy law. Closure does not expand the licence. Privacy rights and any agreed data-processing terms remain unaffected.
21. Updates and applicable version
Ryselist may update these Terms as its services, providers, business practices or legal obligations change. Each version carries a last-updated date and version identifier. We will email existing customers about material changes, including this version, with a link to the updated Terms and an explanation of when they apply. We will give notice before the sign-in or order on which we rely as acceptance.
For a new customer, these Terms apply when the customer agrees as described in section 1. For an existing customer, this version applies to future use from the customer's next sign-in or order after publication and notice. Signing in or placing that order after an opportunity to read the updated Terms means the customer accepts them. An agency acts through a person authorised to agree for it. Each invited user accepts the rules that apply to them by using the portal after an opportunity to read them. A sign-in by an invited user without authority to change the agency's agreement does not by itself change that agreement.
New rules do not make earlier conduct a breach. Earlier orders and submissions keep their agreed prices, delivery and refund rights, ownership, licences and restrictions unless a valid agreement expressly changes them. In particular, the new breach-closure and payment rules do not remove rights already agreed for earlier orders. The rules on future portal use do not extend the property-image marketing licence in section 13 to earlier submissions. Any legal requirement for a different form of acceptance remains applicable.
A customer who does not accept an update should stop new orders and contact hello@ryselist.com before further portal use. It may cancel renewal under section 6. Rejecting an update alone is not a breach. Ryselist will arrange completion of earlier accepted orders or refund prepaid service it will no longer provide, without requiring acceptance of new restrictions on those orders. The requirement for at least 30 days of email notice before higher renewal fees in section 6 still applies. Keep a copy of the Terms and order details that apply to your purchase.
22. Governing law, disputes and arbitration
These Terms and any non-contractual dispute arising from them are governed by the laws of the State of Delaware and applicable United States federal law, without regard to conflict-of-law rules. Before starting formal proceedings, each party will use reasonable efforts to resolve the dispute through good-faith written discussions for 30 days after one party gives the other written notice describing it. If the dispute is not resolved in that period, either party may require that it be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in Delaware, United States, and conducted in English; judgment on the award may be entered by any court of competent jurisdiction. Each party keeps the right to bring an individual claim in a small-claims court that has jurisdiction, and to ask any court for urgent injunctive relief to protect Confidential Information or intellectual property. Claims will be brought only in an individual capacity: neither party may bring a claim as a claimant or class member in any class, collective, consolidated or representative proceeding, and the arbitrator may not consolidate claims or preside over any representative proceeding. If this paragraph’s restriction on class or representative proceedings is held unenforceable for a particular claim, that claim alone will be heard by the state or federal courts located in Delaware, United States, which otherwise have exclusive jurisdiction over any dispute not subject to arbitration, and the rest of this section continues to apply.
23. General terms
Neither party is liable for delay caused by events beyond its reasonable control, but payment obligations already due are not excused. This does not remove the express late-delivery remedy in section 5 or a refund due under sections 7, 20 or 21. Assignment and transfer are governed by section 24. If a provision is unenforceable, the applicable law governs that part and the remaining provisions continue in effect. A delay in enforcing a right is not a waiver.
Any provision that by its nature should survive the end of these Terms does so. This includes sections 8, 9, 11, 12, 14 (copying and misuse), 14A (access and disclosure restrictions), 14B (retained records), 18, 19, 20 (settlement and closure), 21 (applicable versions), 22, 24, 25 and this section. Survival does not extend a stated confidentiality period, retention period or licence, or create a general restriction on competition.
The following safeguards take priority over inconsistent wording elsewhere in these Terms. Nothing limits liability for fraud, wilful misconduct, gross negligence or death or personal injury caused by negligence. Nothing limits liability under a binding guarantee or a law that does not allow the limit. Ryselist remains responsible for reasonably foreseeable loss typical of the contract when ordinary negligence breaches an essential contractual duty. An essential duty is one needed to provide the agreed Service and on which the customer reasonably relies. The caps and excluded loss categories in section 18 do not reduce that protection. Section 18 does not cap refunds, restored credits or the return of prepaid amounts expressly due under these Terms.
Section 19 covers only the part of a third-party claim caused by the customer's breach or unlawful conduct. It does not cover loss caused by Ryselist's own breach, negligence or misconduct. Ryselist must take reasonable steps to limit the loss. It must not settle a covered claim in a way that imposes an obligation on the customer without the customer's consent, which must not be unreasonably withheld.
Nothing in sections 22, 24 or 25 removes rights that applicable law does not allow a contract to remove. These include mandatory rights to end a contract for serious cause, bring a claim before a competent court, complain to a regulator or exercise privacy rights. An urgent application permitted by section 22 does not have to wait for its 30-day discussion period. A court or arbitrator decides whether relief is justified. These Terms do not treat a requested injunction as automatically granted.
These Terms, the applicable order details and any signed agency order form are the entire agreement for the Service. If they conflict, a signed order form takes priority for that order. Any individually agreed term has the priority required by law. An agreed data-processing arrangement governs the processing it covers. No order form or other agreement removes a protection that cannot lawfully be waived.
24. Assignment
(a) The customer may not assign or transfer these Terms, or any of its rights or obligations under them, without Ryselist’s prior written consent, except to a successor to all or substantially all of the customer’s business or assets, with written notice. Any attempted assignment in breach of this section is void.
(b) Ryselist may assign or transfer these Terms, in whole or in part, without the customer’s consent: (i) to any of its affiliates; or (ii) in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of its assets, business, or the Service. Ryselist will notify the customer of any such assignment.
(c) These Terms bind and benefit the parties and their successors and permitted assigns.
25. Change of control
A change in the ownership or control of Ryselist, including any sale of its shares, does not affect these Terms, which continue in full force. A change of control does not by itself give the customer any right to terminate, renegotiate, or receive a refund.
